Terms and Conditions

Acceptance of Terms

It is not necessary for any client to have signed an acceptance of these terms and conditions for them to apply. If a Client accepts a quote or makes an online payment then the client will be deemed to have satisfied themselves as to the terms applying and have accepted these terms and conditions in full.

Please read these terms and conditions carefully. Any purchase or use of our services implies that you have read and accepted our terms and conditions.

General

These Terms and Conditions supersede all previous representations, understandings or agreements. The Client’s signature below or payment of an advance fee constitutes agreement to and acceptance of these Terms and Conditions. Payment online is an acceptance of our terms and conditions.

Indemnity

All ITND services may be used for lawful purposes only. You agree to indemnify and hold ITND harmless from any claims resulting from your use of our service that damages you or any other party.

Governing Law

This Agreement shall be governed by English Law.

Liability

ITND hereby excludes itself, its Employees and or Agents from all and any liability from:

  • Loss or damage caused by any inaccuracy;
  • Loss or damage caused by omission;
  • Loss or damage caused by delay or error, whether the result of negligence or other cause in the production of the web site;
  • Loss or damage to client’s’ artwork/photos, supplied for the site. Immaterial whether the loss or damage results from negligence or otherwise.
  • Coincidental Computer hardware failure.
  • Coincidental or unrelated software issues.

The entire liability of ITND to the Client in respect of any claim whatsoever or breach of this Agreement, whether or not arising out of negligence, shall be to the charges paid for the Services under this Agreement in respect of which the breach has arisen.

Change of Terms and Conditions

We reserve the right to change these terms and conditions without notice.

1. Charges

a). Clients have the choice to either pay monthly or annually.

b). In order for us to begin work on a website, clients are expected to pay in full or if agreed the client can pay in instalments.

c). If a client needs any changes to be made to a completed website, a new invoice will need to be requested.

d). If a client requires any special type of resources added to their website such as licensed images, videos or fonts these will be considered as upgrades and will be charged separately.

e). Payment for services can be paid via PayPal, Direct Debit, Credit Card or Bank Transfer. Clients will be sent an Invoice via email which needs to be paid before work begins.

2. Design Progress

a). The client will be given the opportunity to review the appearance and content of their site during the design stage.

b). During the design stage the client will be given the opportunity to make revisions to their website by advising us what changes are required, the client must make revisions within a reasonable capacity and revisions must not affect the overall design of the website, if clients suggestions means we have to change the overall layout of a website that is already built we may have to charge for additional time spent on the work carried out, we charge £25 per hour.

c). Once the client is satisfied with the design and functionality of the website the project will be deemed completed and any changes revisions thereafter will need to be charged as a new job.

3. Turnaround Time

a). We will complete the client’s website on or before the estimated complete date as long as the client can be consistent with communication and the forwarding of content such as images, videos, text and audio.

b). If the client consistently fails to communicate with us or consistently delays the agreed schedule, of providing us with content such as images, videos, text and audio, this will result in us not being able to complete the project on time and therefore we have the right to cancel the project, the client will also be charged for the time already spent building the website at a rate of £25 per hour, we will refund the remainder of what is owed.

4. Mobile Responsive

a). All our websites are mobile responsive (mobile, tablet friendly) however we cannot guarantee that the website will look the same on every screen size therefore we cannot take responsibly if a web page looks slightly different on smaller screens, however we will do our best to rectify any imperfections.

5. Access of Website

a). Once the website is complete the client will be emailed their username and password to their website, which will give them full access to the backend.

b). Once a client has access to the backend of their website they are responsible for any changes made or for any loss of data.

6. Training

a). Once the Admin username and password has been emailed to the client the client will be provided with video tutorials to help them make changes if they require it.

b). The video tutorial will show clients how to edit text, replace images, delete images, add images.  If the client has requested a blog, they will be shown how to add, edit and delete posts/articles.

7. Support

a). Support is offered on our hosting plans and our monthly management plans, support is not offered on our self managed plans.

b). If clients need support with any technical issues they can submit a ticket via their client area.

c). Clients who don’t host with us can also request support when they require it as long as it’s included in their plan, if it’s not included in their plan they can request one-off support at £25 p/h or can purchase one of our website maintenance/care plans.

d). If the client has requested any type of third party software to be added to their website, we will make sure that the software is compatible, we will test it and offer the client basic training  on how to use it.

e). We do not provide support on third party plugins, if the software developer provides support, if the client has a website maintenance/care plan with us we can seek advice and guidance from the developer on behalf of the client.

f). If a client accidentally breaks their website through negligence or lack of experience, we can attempt to restore the clients website from a backup, this can only be done if the client has the backup service included in their plan.

8. Termination

a) Clients have 7 days from the date of registration to request cancellation, if any work has been completed within the 7 days the client will need to pay for the time spent on his/her website, the client will be charged an hourly rate of £25.

b) Clients who signup for a Managed Website will be entering into a 24 month contract.

9. Website Requests

a). We accept all types of requests, except for websites that break out of the frame of ethical or legal purposes, clients that request a website that promotes adult content, gambling, interest/usury, illegal content, hate, racism, drugs and alcohol, we reserve the right to decline any work that fits this criteria.

10. Copyright Material

a). Content such as images, logos, text, video and banners provided to us by the client must be owned by the client and when given to us we deem that that the content is not copyright protected by a third party.

b). When working on the client’s website, the client agrees to indemnify and hold us harmless from any and all claims resulting from the Client’s negligence or inability to obtain proper copyright permissions.

11. Images

a). Media files such as images must be given to us by the client in high quality (2 Mega Pixels or above) and must be in JPG, PNG or SVG format.

b). Any images that are not high quality may not fit in with the overall look and design of the website and might not be used.

12. Credit Us

a). A small link or logo to ITND’s website may be added to the bottom of the client’s website. The link or Logo will blend in with overall design of the website.  The website developed for the Client may be presented in ITND’s portfolio.

13. Modifications

a). We cannot accept responsibility for any modifications, deletions or errors caused by the client or a third party after the client has access to the backend of their website.

b). If the client is experiencing any technical issues with the website outside of the free support period the client will need to request a quote for any new work required or will need to purchase a maintenance/care plan.

14. Hosting

a). Our monthly plans come inclusive of hosting.

b) Hosting will need to be purchased on the Self Managed plans.

15. Website Backups

a). If your website is hosted with us we can offer you daily backups free of charge if your hosting plan includes free backups.

b). Even though we will backup data for clients who have paid for the service we cannot guarantee that all backups will restore correctly therefore we are 99% certain they will restore without issues.

 

1. Registration  

a). In order to use our service clients are expected to register for an account using our client portal.  After registering clients are expected to setup a payment method, clients can choose to pay monthly or annually. 

2. Login Credentials 

a). Clients agree to provide us with all usernames and passwords for hosting, WordPress website or anything else that is required in order for us to fully manage a clients website.   

b). No login credentials are shared with any third party. 

3. The Support We Provide 

a). All Support Tickets must be submitted to us via the client area this will allow us to keep a record of all jobs submitted to us. 

b). Depending on your plan, we provide the following support, theme updates, plugin updates, core system file updates, bug fixes, broken link fix, https issues, malware check and removal, security checks, vulnerability checks, speed performance fixes, image optimisation, daily backups, offsite backups, uptime monitoring. 

4. The Support We Don’t Provide 

a). If a client’s site is not hosted on our hosting server, we can’t offer daily backups.  If a clients website goes down on their own server, we’ll offer support where we can but the client needs to liaise with their hosting provider to see if they can resolve the issue. 

b). We don’t support websites that don’t run WordPress. 

5. Response Time 

a). We aim to respond to all support tickets as quickly as we can, usually within a couple of hours.  We don’t offer 24 hour emergency support however we do respond to support tickets anytime within 24 hours and 7 days a week, we do endeavour to resolve issues as quickly as possible. 

b). If your website is hosted with us we have software which monitors our server uptime and downtime so we will know when your site goes down and will rectify any issues as quickly as possible. 

6. Tasks, what’s included 

a). Tasks that are included free of charge within a clients plan must not exceed the time limit of 30 mins per task. 

b). Clients agree that per requested task will be classed as a new task and cannot use all their allocated task time on a single task. 

c). The tasks that we can perform on behalf of clients are the following: 

  • Text edits
  • Image uploaded
  • Image replace
  • Colour change
  • Basic layout change 

7. Tasks what’s Not included 

a). Tasks that clients request must not exceed the allocated time frame for each task. 

b). Unused Task time cannot be rolled over to the next month. 

c). The tasks that we cannot perform on behalf of clients are the following: 

  • Editing images (changing the way they look)
  • New Development
  • Creating New Pages 

8. One-Off Tasks 

a). One-Off tasks will be charged at £25 per hour. 

b). Clients will be given a fixed price based on the task they need doing. 

c). One-Off Tasks must be paid for in advance before any work can begin, this can be done from the client area or direct from our website. 

 

1. Publication

a). The client must provide us with accurate information to be added to the client’s publications, this can be given to us in a number of formats such as a Word document, Power Point presentation or email.

b). The client will be given the opportunity to view the draft publication during the design stage, if the client requires changes to be made; the client must inform us of any revisions required.

c). Revisions that need to be made must be within a reasonable capacity.

d). Once the client receives the finished version of the publication, we deem the project to be complete.

e). If the client requires revisions to be made after receiving the finished version of the client’s publication then the client will need to pay £19 per hour or an agreed flat rate for any new revisions required.

a). We accept all types of design requests, except for designs that break out of the frame of ethical or legal purposes, clients that request a design that promotes adult content, gambling, interest/usury, illegal content, hate, racism, drugs and alcohol, we reserve the right to decline any work that fits this criteria.

4. Payment and refunds

a). The client is expected to make payment in full before any work is carried out to secure a design slot.

c). If a client needs any revisions to be made to a completed design, a new quote will need to be requested.

d). Payment for services can be paid via PayPal, Credit Card and Visa Debit card. Clients will be sent an invoice via email which needs to be paid within 7 days.

e). If the client wishes to cancel before we have started working on the client’s design, the client must email us at info@itnd.co.uk requesting a cancellation, we will then refund any money paid upfront however the client will need to pay a cancellation fee of £10 towards admin.

f). If we have already begun working on a client’s design and the client decides to cancel, we will charge for the time (£19 per hour) already spent working on the design and we will refund any money that is owed to the client.
